Financial Transactions. Burt Raimi represents clients throughout all stages of complex transactions, including the formulation, negotiation, drafting and implementation of the transactions. The transactions include public and private equity and debt offerings, mergers and acquisitions, bank charter conversions, bank holding company formations, new bank charter applications, and purchases and sales of businesses and business assets. Burt Raimi also advises clients on methods of accessing private and public capital markets and assists clients in drafting transaction documentation, including private placement memoranda and related documents.

Bank Regulatory Law. Burt Raimi is an experienced banking lawyer, having served as Deputy General Counsel and in other capacities, with the Federal Deposit Insurance Corporation. He has extensive and in-depth knowledge of the laws and regulations governing the activities of banks, thrift institutions and financial institution holding companies. He has obtained numerous federal and state bank regulatory approvals and exemptions on behalf of his clients and has represented clients in enforcement actions brought by federal and state bank regulatory agencies.

Securities Regulatory Law. Burt Raimi assists clients in preparing securities registration statements, proxy materials, periodic reporting filings, applications for exemptions and requests for no-action letters. He has had significant experience practicing before the Securities and Exchange Commission and state "Blue Sky" securities commissioners. He has represented clients in SEC and State enforcement proceedings.

Corporate Practice. Burt Raimi has had significant experience in selecting the best type of entity for a business, and in the preparation of corporate, LLC and partnership documents. He has experience in drafting employment agreements, warrants, stock option plans, dealer and distribution agreements, license agreements and leases. He regularly advises clients on corporate structures to accommodate client and investor needs. He has assisted clients in drafting and negotiating investor term sheets, in conducting director and shareholder meetings, including dealing with dissatisfied shareholders, provided counsel on corporate governance issues and advised on corporate entity selection (corporation, limited liability company, limited partnership, business trust, etc.).

Arbitration. Burt Raimi has frequently served as an Arbitrator for the American Arbitration Association. He has arbitrated cases involving disputes over business transactions, securities transactions, employment contracts, real estate contracts and manufacturing agreements.
